1 About these Terms

The website at igrowventure.com (the Site) is operated by I-Grow Venture Ltd, a company based in The Gambia (I-Grow, we, us or our). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

You must have legal capacity to accept these Terms. If you use the Site for an organisation, you confirm that you are authorised to act for it. These Terms take effect for you when you first use the Site on or after the date shown above.

2 Scope of the Site

The Site provides general information about I-Grow and its activities, including advisory services, financial modelling, taxation, training and capacity building, fractional CFO support, internal audit and reviews, and investment activity using I-Grow's own private capital. The Site also contains articles, case studies, profiles, downloadable or interactive resources, and a PAYE tax calculator.

The Site is not an online store or client portal. It does not create an adviser-client, accountant-client, auditor-client, trainer-participant, fiduciary, partnership or investment relationship. A relationship for professional services, training or an investment arises only under a separate written agreement signed or otherwise accepted by the relevant parties.

3 Separate contracts for services and training

Any quotation, proposal, engagement, course, workshop, advisory mandate, audit review, software implementation or other paid service is governed by the separate terms agreed for that matter. Those terms control scope, fees, payment, confidentiality, deliverables, responsibilities, intellectual property, cancellations and refunds. If those terms conflict with these Terms on the contracted service, the separate contract prevails for that service.

Nothing on the Site promises that I-Grow will accept an engagement, provide financing, make an investment, secure regulatory approval, raise capital, obtain a tax result or achieve a particular commercial outcome.

4 General information and professional disclaimers

Site content is provided for general information and educational purposes. It is not personalised financial, investment, accounting, tax or legal advice, and it should not be treated as a substitute for advice based on your circumstances. Laws, tax rules, market conditions and professional standards change, and content may not reflect the latest position.

You are responsible for checking information before relying on it and for obtaining appropriate professional advice. Past results, client stories, examples, forecasts, models and illustrations do not guarantee future results.

The PAYE tax calculator provides an indicative calculation from the figures entered and assumptions shown on the Site. It is not a tax filing, payroll service or official determination. Confirm current rates, thresholds and social-security treatment with the Gambia Revenue Authority, the Social Security and Housing Finance Corporation and an appropriate adviser before use.

5 No public offer or investment solicitation

Information about I-Grow's investment activity is descriptive only. The Site does not offer securities, invite the public to invest, solicit deposits, provide a prospectus, or make a binding commitment to lend, invest or arrange funding. Any potential investment is subject to separate contact, eligibility checks, due diligence, approvals and definitive agreements. Do not send money or make an investment decision based only on Site content.

6 Permitted use

You may view and use the Site for lawful personal or internal business purposes. You may print or download reasonable extracts for those purposes if you keep all ownership notices and do not alter the material or imply I-Grow's endorsement.

You must not:

• use the Site unlawfully, fraudulently or in a way that infringes another person's rights;
• interfere with the Site, bypass security, introduce malicious code, probe vulnerabilities, overload services or attempt unauthorised access;
• scrape, harvest or systematically extract Site content or personal information except as permitted by law or our written consent;
• copy, republish, sell, license or commercially exploit substantial Site content without our written permission;
• misrepresent your identity, affiliation or authority, or impersonate I-Grow or its personnel; or
• use the Site, its name or content to promote an unlawful scheme or to suggest a relationship or endorsement that does not exist.

7 Information you send to us

You may contact us or voluntarily send information such as your name, email address, phone number, company information, curriculum vitae, financial statements or client records. Send only information you are entitled to disclose and that is reasonably necessary for your enquiry. You remain responsible for its accuracy, legality and any required notices or permissions.

Do not send passwords, payment-card details, national identification documents, health information or other highly sensitive material through a general website channel unless we have specifically requested it and provided an appropriate method. Sending information does not oblige I-Grow to accept work, keep a business opportunity open or treat an unsolicited idea as confidential. Confidentiality for an engagement is governed by the applicable separate agreement or an express written commitment.

8 Intellectual property

Unless stated otherwise, I-Grow or its licensors owns the Site and its content, including text, graphics, logos, designs, training materials, financial models, templates, calculators, reports, articles and other proprietary resources. Third-party names, marks and materials belong to their respective owners.

These Terms grant only the limited right to use the Site described in section 6. No other licence or transfer of ownership is granted. You may link to the Site in a fair and lawful way that does not damage our reputation or imply an association or endorsement. We may ask you to remove a link that does not meet these conditions.

9 Third party sites and separate platforms

The Site may link to third-party services and to other platforms associated with I-Grow, including the Gambia CFO Conference and Awards, Future CFO Institute and Business in Gambia. These Terms and the Website Privacy Policy apply only to igrowventure.com unless another site expressly adopts them. A linked site may have different owners, terms, privacy practices and security measures.

Links are provided for convenience and do not amount to an endorsement or guarantee. We do not control third-party content, availability, products or practices. Review the applicable terms and privacy notice before using another site or service.

10 Availability and changes

We may update, correct, suspend or withdraw any part of the Site without notice. We do not promise uninterrupted, error-free or secure access, or that content will remain available. You are responsible for the devices, software and connectivity needed to use the Site and for protecting them against harmful material.

11 Disclaimers

To the extent permitted by applicable law, the Site and its content are provided on an as-is and as-available basis. We exclude implied warranties and representations concerning accuracy, completeness, currency, fitness for a particular purpose, non-infringement and availability. Nothing in these Terms limits any warranty or right that applicable law does not allow us to exclude.

12 Limitation of liability

To the extent permitted by applicable law, I-Grow and its directors, officers, employees and contractors will not be liable for indirect, incidental, special or consequential loss, loss of profit, revenue, opportunity, goodwill or data, or loss arising from reliance on general Site content, use of a linked site, or unavailability or misuse of the Site.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or any liability that applicable law requires us to bear. Separate contracts may contain different liability terms for professional services, training or investment transactions.

13 Responsibility for misuse

If your unlawful use of the Site, breach of these Terms, or infringement of another person's rights causes I-Grow a claim, loss or reasonable cost, you will be responsible for that loss to the extent permitted by applicable law. This section does not apply where the loss was caused by I-Grow's own breach or wrongdoing.

14 Privacy and cookies

Our Website Privacy Policy explains how we collect and use personal information. The Site may use necessary cookies and, if enabled, analytics or similar technologies. Cookie choices may be offered where consent is required. Browser settings can also restrict cookies, although this may affect Site functions.

15 Changes to these Terms

16 Governing law and courts

These Terms and any non-contractual dispute arising from the Site are governed by the laws of the Republic of The Gambia. Subject to any mandatory law that gives you another right, the courts of The Gambia have exclusive jurisdiction. Before starting proceedings, the parties should make a reasonable attempt to resolve the matter through the contact details below.

17 General terms

If a court finds part of these Terms unlawful or unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver. You may not transfer your rights under these Terms without our written consent. We may transfer our rights and obligations as part of a reorganisation or transfer of the Site, provided this does not reduce protections that applicable law gives you.

These Terms, together with the Website Privacy Policy, are the entire agreement about general use of the Site. They do not replace any separately contracted terms for services, training or investments.
